Job Description

In a leading Africa-focused private equity firm, this role is pivotal in providing pragmatic, commercially focused legal support across an expansive investment platform. As a key interface between internal commercial sponsors and external counsel, the successful candidate will drive legal execution for complex transactions, fund structuring, and corporate governance. This position offers a unique opportunity for a seasoned legal professional to manage sophisticated cross-border work streams within a high-output, collaborative environment. This opportunity offers part-time and hybrid working as an Independent Contractor for approximately 6 months, to be reviewed thereafter.

Key Responsibilities

Transaction & Investment Support: Lead the execution of private equity transactions, including secondary market solutions, co-investments, and GP-led processes; review and coordinate critical documentation such as LPAs, subscription agreements, and side letters.

Legal Project Management: Act as the primary point of contact for external legal counsel, scoping mandates to ensure cost-effective delivery while monitoring legal budgets and maintaining quality consistency.

Fund & SPV Management: Support the structuring and ongoing legal maintenance of funds and Special Purpose Vehicles (SPVs), specifically focusing on Cayman and Mauritius jurisdictions.

Regulatory & Compliance: Ensure strict adherence to international regulatory frameworks and coordinate legal processes with internal KYC/AML teams to maintain robust governance.

Governance & Secretarial Oversight: Coordinate Management Committee and Board processes, including the drafting of resolutions and minutes, while ensuring all statutory records meet audit and compliance standards.

Requirements
  • Qualified Lawyer (admitted in a common law jurisdiction such as South Africa, the UK, or equivalent).
  • 5-10+ years of post-qualification experience specifically within private equity, investment funds, or high-level corporate law.
  • Direct experience with Cayman Islands and Mauritius fund structures (beneficial).
  • Strong familiarity with LP/GP dynamics, fund structures, and secondary transactions.
  • Proven ability to operate independently in a lean, technical team while managing multiple concurrent work-streams.
  • Background in cross-border transactions across African markets.
  • Previous exposure to Environmental, Social, and Governance (ESG) frameworks within an investment context.
Required Software Skills
  • Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Experience with Virtual Data Rooms (VDRs) for transaction management.
  • Collaborative tools (e.g., Slack, or similar project management software).
  • Independent Contractor, approximately 6-month period, to be reviewed thereafter.
  • 50% of standard working hours (Flexible hours available).
