Role

We are looking for an additional motivated colleague in the role of a Legal Counsel (Fund Investments Lawyer).

Legal Counsel (Fund Investments Lawyer)

You will be part of the Legal & Compliance function, within the Legal Investments & Restructuring team, supporting investment activities across private markets. You will provide pragmatic, business oriented legal advice to internal stakeholders. The role requires a hands on, solution driven lawyer who can operate effectively in a fast paced, international environment.

Your Main Tasks
  • Act as a trusted legal partner to investment professionals and other internal stakeholders, advising on the execution of investments into intermediated businesses (PE fund and financial institutions), with a clear and primary focus on Fund of Fund transactions, including primary commitments, co investments and secondary transactions
  • Draft, review and negotiate a broad range of legal documentation, including LPAs, subscription agreements, side letters and ancillary documents
  • Support fund structuring and product development, working closely within internal teams and external parties
  • Review legal opinions, regulatory confirmations and tax related documentation; instruct and manage external legal counsel's cross multiple jurisdictions in a pragmatic manner
  • Advise on portfolio investment matters, including amendments, restructurings and unwinding portfolio exposures
  • Deliver targeted legal training and guidance to investment teams, contributing to the development of internal know how and best practices
  • Contribute to the continuous improvement of processes, templates and playbooks, supporting scalability and efficiency
Your Experience and Skills
  • Strong academic background (Master of Law or equivalent) with 4-6 years of relevant experience in private markets, gained in house and/or at a leading law firm
  • Founding legal knowledge and experience in private equity fund investments, ideally in a Fund of Funds environment (ILPA documentation and multi investor structures are a strong plus). Experience in Financial Inclusion lending would be an advantage
  • Commercially minded and pragmatic, with the ability to balance legal risk and business objectives.
  • Hands on and execution focused, comfortable managing transactions end to end with limited supervision
  • Excellent written and verbal communication as well as legal drafting and negotiating skills, used to and with flair for easily interacting with different stakeholders in a global and diverse organization
  • Business fluency in English is required; additional languages (French, German, Spanish) are a plus
  • Able to manage goals independently by keeping the big picture in mind and ability to respect tight deadlines; proven ability to improve and enhance processes continuously
  • Interest in and enthusiasm for impact investment
