In-house Legal Counsel
Job Description
As an In-house Legal Counsel, you will play a key role in supporting the business with legal expertise across debt recovery, compliance, and contract management. You will be responsible for assisting in the management of overdue debtors and litigation matters, drafting customised finance agreements, and providing sound legal opinions to guide business decisions. A critical part of your role will be to help leadership identify and manage legal risks, ensuring that all agreements and practices align with South African legislation and regulatory standards.
Responsibilities- Draft legal documentation, including facility agreements, resolutions, security documents, and condition letters, in line with approved Credit Sanctions using standard templates
- Customise standard legal documents when required, ensuring all modifications are approved by the appropriate mandate holders
- Prepare ad hoc and non-standard legal correspondence, including confirmations, undertakings, acknowledgements of debt, breach notices, guarantees, and other business-related legal letters
- Vet legal agreements, security documents, and resolutions received from clients or suppliers to ensure compliance and accuracy
- Conduct annual reviews of Master Legal Document Templates to ensure alignment with current legal standards and business practices
- Provide legal support to business by offering guidance on agreement vetting, legal opinions, third-party negotiations, and ad hoc legal queries
- Facilitate efficient client onboarding by offering legal guidance, alternatives, and practical solutions
- Advise on and oversee collateral-related matters, including swaps, terminations, registrations, and releases
- Review and assess legal and credit files for exposures classified as High Risk, actively participating in their management through meetings, payout approvals, and collections oversight
- Proactively manage the perfection of security by coordinating with internal and external stakeholders
- Develop and implement litigation strategies aimed at maximizing recoveries in a cost-effective manner, liaising with attorneys, liquidators, and business rescue practitioners
- Provide timely reports on legal matters and high-risk exposures, including monthly updates on outstanding and overdue collateral
- Foster collaboration and maintain strong working relationships across all departments and associates within Merchant West
- Perform ad hoc tasks and responsibilities as assigned by management
