Job Description

Purpose of the Role

The Corporate Assistant provides high-level administrative and governance support to the Corporate Services function within the VKB Group. This role ensures the smooth implementation of corporate governance processes, assists with the maintenance of statutory records, coordinates board and committee meetings, and facilitates effective communication within the Group.

Qualifications and Experience
  • Diploma or Degree in Business Administration, Corporate Governance, Law, or related field.
  • 3-5 years' experience in a corporate administration, governance, or company secretarial environment.
  • Strong understanding of corporate governance principles, compliance, and board processes.
  • Excellent administrative, organizational, and communication skills.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Experience with board management systems (e.g., Diligent, BoardPAC) will be an advantage.
Duties and Responsibilities
  1. Corporate Services Support

    • Implement and maintain the Corporate Services function within the VKB Group.
    • Support the successful management and execution of the Group's Corporate Governance Framework.
    • Assist with the corporate implementation of Board and Committee decisions and track outstanding matters.
  2. Governance and Compliance

    • Maintain and update Company Registers for all entities within the VKB Group.
    • Assist with statutory compliance, corporate filings, and recordkeeping.
    • Contribute to risk management initiatives and governance reporting across the Group.
  3. Meeting Coordination

    • Prepare, compile, and distribute agenda packs timeously for meetings.
    • Attend meetings to record accurate minutes and follow up on action items.
    • Ensure smooth logistical and administrative coordination of all corporate meetings.
  4. Communication and Correspondence

    • Handle and resolve corporate queries and correspondence directed to the department.
    • Ensure clear and professional communication across the VKB Group using multiple platforms.
    • Support the drafting, proofreading, and formatting of corporate documentation and reports.
  5. General Administrative Support

    • Manage document control, filing systems, and confidential records.
    • Provide ad hoc assistance to the Corporate Services and Company Secretariat teams as required.
