The client is seeking a Transaction Expert (CDMU Lead) to support implementation of a national Energy Compact focused on accelerating renewable generation, strengthening sector governance, and mobilising private sector investment in energy infrastructure.

The role will support the Compact Delivery and Monitoring Unit (CDMU) and the High-Level Committee responsible for overseeing reform commitments, infrastructure development, and private sector participation.

The consultant will combine transaction advisory expertise (IPP structuring, financial modelling, procurement design) with coordination responsibilities across technical experts and institutional stakeholders.

The role forms part of a technical assistance package supported by international development partners under a multi-donor energy transition initiative.

• Evaluate energy production infrastructure projects, including technical, financial, and commercial due diligence and documentation review.
• Develop robust financial models to assess tariff impacts under multiple scenarios and support bid evaluation, ensuring accuracy, completeness, and consistency of assumptions.
• Evaluate and compare project costs and benefits against alternative scenarios to determine financial and economic viability.
• Propose and assess project tariffs, institutional arrangements, and financial structures to ensure bankability.
• Develop guarantees and other financial support mechanisms for energy infrastructure projects.
• Recommend risk mitigation measures to prevent project failure, reduce profitability risks, and address cost, timeline, and technical uncertainties during implementation and operations.

• Propose a procurement approach that maximises participation from qualified and experienced international investors while ensuring competitive outcomes.
• Organise structured consultations with private sector IPPs and Government stakeholders regarding bidding processes and contract design.
• Prepare comprehensive bidding documentation in accordance with international best practice.
• Provide administrative and technical support for the effective and professional management of the IPP selection process.
• Assist in the evaluation of technical and commercial bids in line with legal and commercial conditions.
• Support negotiations with preferred IPP bidder(s).

• Design and implement capacity-building activities to strengthen stakeholder knowledge in transaction structuring, financial analysis, procurement processes, and contract management within the energy sector.

• International lawyer specialising in large-scale construction and infrastructure financing projects, with a minimum of 15 years of relevant professional experience.
• At least 10 years of experience in non-recourse project financing and solar project development.
• Demonstrated experience participating in negotiations involving public authorities, EPC contractors/builders, operators, and financial institutions, with a strong understanding of stakeholder expectations and constraints.
• Proven expertise in project management, strategic planning, monitoring and evaluation, and interinstitutional coordination, including team leadership and stakeholder engagement.
• Demonstrated contribution to the drafting and finalisation of contractual documentation for at least ten large-scale public and private infrastructure projects internationally, including experience in French-speaking Africa.
