Job Description
The Non-Executive Director will oversee all financial aspects of the company, support business development initiatives, manage corporate secretarial functions, and ensure compliance with all statutory financial filings.
This role requires a dynamic leader with a strong background in finance, strategic business development, and corporate governance.
Job Specific Responsibilities Financial Management- Oversee all financial operations of the company, including budgeting, forecasting, and financial planning.
- Ensure accurate and timely financial reporting, including monthly, quarterly, and annual reports.
- Manage cash flow, funding, and investment activities to ensure financial stability and growth.
- Develop and implement financial strategies to enhance profitability and shareholder value.
- Oversee audit processes and liaise with external auditors to ensure compliance with financial regulations, tax filings, and other financial reporting obligations.
- Support the evaluation of new business opportunities and strategic partnerships to grow the company.
- Develop and execute business development plans to expand the company's market presence and customer base.
- Support market research and analysis to identify industry trends and competitive landscape.
- Collaborate with internal and external stakeholders to negotiate and secure new contracts and Bareboat charter agreements.
- Manage the Bareboat Charter arrangements with customers/charterers ensuring the validity, and all legal aspects are complied with to reduce risk.
- Oversee the organization and execution of Annual General Meetings (AGM) and board meetings.
- Ensure timely preparation and distribution of meeting agendas, minutes, and relevant documents.
- Maintain and update corporate records, ensuring compliance with statutory requirements.
- Liaise with the Board of Directors and shareholders to facilitate effective communication and decision-making.
- Ensure all financial and statutory filings are completed accurately and submitted on time.
- Stay informed about changes in regulatory requirements and ensure the company's compliance with local laws and regulations.
- Implement and maintain robust internal controls to safeguard company assets and ensure compliance with financial policies.
- Bachelor's degree in Finance, Accounting, Business Administration, or a related field.
- A Master's degree or professional certification (e.g., CPA, CFA) is preferred.
- Approx 10 years of experience in a senior financial management role, preferably within the oil and gas or maritime industry.
- Proven track record in business development and strategic planning.
- Strong understanding of corporate governance, regulatory compliance, and financial reporting standards.
- Excellent leadership, communication, and interpersonal skills.
- Ability to work effectively in a fast-paced and dynamic environment.
