Legal Advisor
Job Description
The Legal Advisor is required to provide proactive legal and administrative support to the in house legal team, with particular emphasis on contract review, legal research, corporate governance support, and the preparation of documentation for tender submissions and commercial proposals, whilst maintaining and developing a culture of risk management within Lesedi.
KEY PERFORMANCE AREAS Contract Support- Review, draft, and amend a wide range of commercial contracts (e.g. NDAs, credit applications, bespoke client agreements, service agreements, consultancy agreements, etc.).
- Highlight key legal and commercial risks.
- Maintain document tracking registers and manage contract lifecycle documentation (such as warranties, guarantees, and bonds).
- Support negotiation processes by preparing mark ups and comparison summaries.
- Ensure contracts comply with internal policies and regulatory requirements.
- Compile legal and corporate information required for tender submissions and RFP responses.
- Review tender terms and conditions and identify legal risks or non standard clauses.
- Coordinate input from relevant departments for proposal documentation.
- Maintain a library of standard legal responses and compliance documentation.
- Support due diligence requests from clients and partners.
- Conduct legal research on regulatory, compliance, and commercial matters.
- Summarise findings clearly for in house counsel and senior management.
- Monitor legislative and regulatory developments relevant to the business.
- Assist in updating internal policies and compliance frameworks.
- Maintain legal records, registers, and document management systems.
- Assist with data protection and compliance documentation.
- Liaise with external counsel where required.
- Track legal spend and support invoice review processes.
- Oversee annual CIDB subscription.
- Evaluate opportunities for additional categories and grading improvements.
- Ensure Lesedi's CIDB status remains active and closely monitored, with immediate escalation of any tax compliance issues.
- Law Degree (LLB) or equivalent.
- Minimum 5 years' experience.
- Sound understanding of the preparation and submission process for tenders.
- Good drafting and reviewing skills pertaining to construction contracts.
- Familiarity with contract management systems.
- Experience with the major standard forms of contract within the South African construction environment (NEC and FIDIC).
- Legal Research.
- Sound knowledge of basic legal principles with regard to SA Law.
- The ability to research and provide legal opinion on daily issues within the construction industry.
- Thorough understanding of the business processes and the organisational functionality.
- Excellent drafting and document review skills.
- Ability to identify and assess contractual risk.
- Strong research and analytical skills.
