Head: Secretariat & Governance page is loaded Head: Secretariat & Governancelocations: Johannesburgtime type: Full timeposted on: Posted Todaytime left to apply: End Date: March 6, 2026 (6 days left to apply)job requisition id: R47002# Job Description To assist the Company Secretary or Secretaries to manage bank compliance with relevant statutory and regulatory requirements that ensures correct compliance with the Companies Act, Banks Act and other relevant legislation and governance such as King V. To provide high quality, timely, and effective secretariat, and corporate governance support to the wide variety of subsidiary entities and entities controlled by the company, including those incorporated in South Africa and internationally. Ensure that the company complies with legal, governance, corporate secretarial requirements and maintains its high standards of corporate governance; Prepare agendas and papers for board and committee meetings, and annual general meetings (AGMs), including pack loading on Diligent, and follow up on action points from meetings; Draft professional and accurate minutes, chairman notes, and various resolutions as required; Ensure policies under the purview of GLE are kept up to date and maintained; Ensure compliance with relevant statutory, legislative, policy and governance requirements in area of accountability; Deal with correspondence, collate information and write reports, communicate decisions to relevant company stakeholders; Provide support and assistance with corporate governance research in line with governance and international practices/trends, and preparing draft policies, frameworks, documents for engagement with team and finalization; Assist with preparing and collating information for the Corporate Governance Report / Annual Integrated Report; Assist with requesting and collating feedback from stakeholders on regulatory and governance matters and developments e.g. Changes to Companies Act and other corporate laws, JSE Listings Requirements, DSS, King V; Liaise with internal stakeholders as well as external stakeholders such as regulators, service providers, advisers, and auditors; Maintain knowledge on relevant legislative amendments, industry best practices and internal compliance procedures and requirements, and share information and knowledge that benefits the team; Monitor changes in relevant legislation and the regulatory environment, and provide guidance at various meetings; Build working relationships across teams and functional lines to enhance work delivery, collaboration, and innovation; Promote teamwork and inclusivity amongst team members and demonstrate behaviours that respect diversity.
