We're hiring a Corporate Lawyer based in Stellenbosch, South Africa to support a UK top-20 accountancy and advisory firm. This is a key role within the firm's Legal Services division and is suited for a legally qualified professional with 3+ years' experience in corporate law and governance, who can lead a small team, manage complex filings, and work directly with UK partners and clients.
Key Responsibilities- Manage and review corporate legal documentation including resolutions, share transactions, shareholder agreements, and board minutes
- Oversee statutory compliance and Companies House filings for UK private companies (training provided where needed)
- Lead and mentor junior staff (Legal Assistants, Company Secretarial Officers) across task execution, quality control, and client delivery
- Draft and advise on documents relating to company restructures, incorporations, capital changes, and reorganisations
- Support UK legal partners with legal due diligence and M&A transactions
- Maintain statutory registers and manage annual compliance processes
- Provide technical guidance to the team and serve as the escalation point for legal or procedural queries
- Liaise with UK-based clients, partners, HMRC (UK equivalent of SARS), and Companies House (UK equivalent of CIPC)
- Proactively contribute to improving internal processes and documentation standards
- LLB degree (from a South African university)
- Admitted attorney or relevant post-qualification experience in a corporate legal or governance setting.
- Must have completed articles
- 3+ years' experience in corporate law, company secretarial services, or legal compliance
- Proven track record of leading or mentoring junior team members
- Excellent drafting and document review skills
- Strong attention to detail and ability to manage multiple workstreams
- Comfortable working remotely and across time zones
- Advanced proficiency in Microsoft Office (Word, Excel, Outlook)
- Enrolled with or qualified through CGISA (Chartered Governance Institute of Southern Africa)
- Familiarity with Companies House filings (or SARS) and statutory registers
- Exposure to M&A, share capital reorganisations, or group structuring
